What the role does.
Leadership, Governance and Oversight
- Play an active role in developing and implementing Team Hoyt Denver’s strategic plans, including mission, vision and strategic goals
- Play an active role in developing and implementing Team Hoyt Denver’s operational plans, including defining roles and recruiting for Operational Leadership
- Assist in developing outcomes and metrics for Team Hoyt Denver to evaluate its impact, regularly measuring its performance and effectiveness using those metrics
- Review agenda and supporting materials prior to board meetings
- Approve annual budget and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities
- Assisting the President in identifying and recruiting other Board Members and Operational Leadership
- Take on special assignments as needed
- Represent Team Hoyt Denver to stakeholders; acting as an ambassador for the organization
Additional Duties as Secretary
- The Secretary serves as the official custodian of the organization’s corporate records and helps ensure the Board operates with transparency, accountability and sound governance. The secretary is responsible for maintaining accurate records, documenting board actions and supporting compliance with legal and organizational requirements.
Specific Responsibilities
- Record accurate and concise minutes for all Board Meetings, annual meetings, and strategic planning meetings
- Ensure meeting minutes document attendance, motions, votes, key discussions and official board actions
- Distribute draft meeting minutes to Board members in a timely manner, secure Board approval of meeting minutes and maintain an archive of all approved meeting minutes
- Maintain an archive of the organization’s official corporate records, including bylaws, articles of incorporation, etc.
- Track Board Member compliance with time, meeting and financial giving commitments
- Support onboarding of new Board Members and Operational Leadership by providing governance documents and securing and filing signed copies of Board Member Description and Expectation documents
